Prior to proceeding with the opening of an account for you, we may be required to undertake an evaluation as to whether our products are appropriate for you. If we believe they are not, we shall warn you accordingly. 

Trade Nation reduces financial exposure by entering into corresponding trades with counterparties. There is a risk that the counterparty defaults on its obligations to us which could impact on our ability to meet our obligations to you. If we default on our obligations, you may become an unsecured creditor in the event of an administration or liquidation, and you will not have recourse to the underlying assets in the event of our insolvency. 

The high degree of “gearing” or “leverage” is a particular feature of this type of transaction. This stems from the margining system applicable to such trades that generally involves a deposit or initial margin in terms of the overall contract value, so that a relatively small movement in the underlying market can have a disproportionately dramatic effect on your trade. If the underlying market movement is in your favour, you may achieve a profit position, but an equally small adverse market movement can not only quickly result in the loss of your entire deposit, but may also expose you to a large additional loss unless you enter into a limited liability contract with the firm. The nature of ST Products means that a relatively small move in the price of the underlying instrument to which your ST Product relates can cause an immediate and substantial loss to you, including a loss far greater than the amount of your initial investment

Orders, other than Guaranteed Stop orders, are not guaranteed so reliance on an order is a risk. It is your responsibility to manage orders. Any order which you have placed and have not cancelled may be filled by us and therefore you may incur losses as a result of that order.

Gapping refers to an occurrence whereby our quote moves from one price to the next price, through an order level. This may be because the underlying instrument to which the ST Product relates has stopped trading and recommences trading at a price below or above a stop loss order level or may trade in insufficient size as represented by the size of your order, for Trade Nation to have been reasonably able to place a trade in the underlying instrument. When gapping occurs, orders are executed at our quote based upon the first price that we are reasonably able to obtain in the underlying instrument. Accordingly, where you have an order you must understand the potential impact of gapping.

The ST Products provided by Trade Nation are OTC products. This means that they are not traded on a licensed financial market such as an exchange. Therefore, by trading in OTC products with us you will not have the benefit of some of the advantages of trading on a licensed market, such as having a central clearing house to guarantee our obligations to you.

For all ST products we incorporate our fees in the spread. There may be circumstances in which the spread that we charge you to close a transaction maybe greater than the spread that we charged you to open the transaction and vice-versa. In such a scenario you may face greater costs in closing a position than anticipated. Dealing spread may vary depending on trading hours as listed in the Market Information Sheets and are subject to change in times of volatile market conditions.

Our ST Products are typically traded over the internet which means that you are exposed to the operational risks associated with online trading such as the reliability of your internet connection, the stability of the trading platform and the reliability of network connections and computer hardware. Such systems, trading platform or hardware failure could prevent you from implementing your desired trading strategy and could cause you to suffer loss. Suitable for Clients: 
• Who are 18 or over; 
• With the knowledge and experience of trading in OTC Derivatives; 
• Able to accept losses being as great as total deposits without financial hardship; 
• With a high investment risk appetite and tolerance; 
• With a short term investment horizon; 
• Using leverage to seek high returns with corresponding high risk and gaining exposure on the price movements of underlying assets without owning the underlying assets; 
• With the financial means to undertake trading in OTC Derivatives; and 

• With an ability to handle:
•  currency fluctuations and exchange rate risks, unless opening a Single Currency Account (as the customer won’t be impacted by currency exposure), and

 • market movements that affect the bottom line and changes to orders (such as increased stop loss trigger), unless trading with fixed spreads where the costs are anticipated.

Clients falling under the above criteria are within our target market and may choose to trade in OTC Derivatives for the following purposes: 

• Hedging (including hedging exposure to underlying assets and hedging positions taken in relation to other CFDs) potential future losses or protect previous gains from investments in other financial products and/or lower the cost of acquiring an economic exposure to underlying assets; and/or 

• Gaining exposure to price movements of underlying markets, due to being more readily available at short notice.

• are subject to regulatory, legal or other sanctions or embargoes 

• Undergoing bankruptcy or other financial hardship;

• Clients considered vulnerable for the following reasons: 

• suffering age-related, mental and/or physical impairment affecting capacity; 

• being subject to abuse, physical, financial or otherwise; 

• suffering from any kind of addiction; or 

• undergoing any other personal or financial circumstance causing significant detriment, like unemployment, redundancy, long-term illness or other such circumstances.

We issue and distribute our OTC Derivatives, and will take reasonable steps to ensure that they are distributed to the identified target market. This TMD will also apply to activities of any agents and representatives who distribute our products on our behalf. 

To ensure that the distribution strategy is consistent with the identified target market, we have several processes in place to ensure that clients who are potential clients fall within the identified target market. 

Our application process has automated systems in place to prevent the following from obtaining an account: 

• Residents in countries that are subject to: 

o regulatory prohibitions on CFD trading; 

or o legal, regulatory or other sanctions or embargoes 

 o self-exclusion for severe vulnerability; 

o behaviour in breach of laws and regulations; or

o behaviour in breach of our terms and conditions. 

If you are eligible, then you will undergo a questionnaire that assesses your knowledge and experience.

 If you can demonstrate through your answers that you have sufficient knowledge and experience, you are then eligible for an account, subject to further verification of your details as required. 

If your answers indicate insufficient knowledge and experience, then you will be deemed unsuitable and prevented from obtaining a live account. 

We will also take reasonable steps to ensure that our marketing strategy targets customers likely to be within the identified target market above. Marketing material will be reviewed internally by our Compliance team with reference to our regulatory responsibilities and the target market characteristics above to ensure it is compliant and appropriate, to ensure it only captures prospective Clients that are within our target market.

We will perform annual reviews of this TMD. The next review will occur in December 2025. Subsequent reviews will take place annually from this date

We will also review the TMD where the following events take place: 

• where ‘significant dealings’ (issuing of OTC Derivatives) takes place of the Firm’s OTC Derivatives, which are not consistent with the target market or this TMD. This will happen where significant distribution is made to customers outside the target market. This is not confined to one particular dealing of OTC Derivatives; 

• there is a significant increase in the volume of complaints that highlight failures of our application of the TMD; or

5. WHAT ARE THE FEES FOR OUR PRODUCTS AND SERVICES?

The margin requirement is the initial amount of funds that are required to be in your account to open a trading position. The amount required to be in your account may be expressed as a ratio or percentage of the contract value or may be expressed as a multiple of the size of your trade. The margin requirements vary from market to market and are listed under the market information tab on the TRADE NATION website and are also available upon request from one of our dealers.

On each product we incorporate our fees in the dealing spread. The dealing spread is the difference between the prices at which TRADE NATION, as a market maker, is willing to buy and sell the ST. Dealing spreads vary from market to market and are listed under the market information tab on the TRADE NATION website and are also available upon request from one of our dealers. For individual US share STs we subtract 2 cents from the market bid price and add 2 cents to the market offer price to derive the dealing spread and ultimately our price.

If you choose to place a guaranteed stop order you will be required to pay a small premium as set out in the market information sheets, but only when the order is executed.

Trading in STs allows you to take long or short positions. You will take a "long position" where you buy something, normally with the expectation that it will increase in value. You will take a "short position" where you sell something, normally with the expectation that it will decrease in value. While the position remains open, your account may be debited or credited to reflect funding interest and dividend adjustments. The direction of funding interest and dividend adjustments depends on whether the ST is used to create a long or a short position.

With a long position, your account may be debited to reflect interest adjustments and credited to reflect any dividends. The effect of these adjustments is to mirror the effect of buying the underlying asset in the normal way, where you would no longer earn interest on the cost of the asset, but may receive dividends in the case of shares.

With a short position, your account may be credited with interest adjustments and debited to reflect any dividends. These adjustments mirror the effect of selling the underlying asset, where you would earn interest on the proceeds of the sale, but cease to receive dividends in the case of shares.

We will not pay you any interest on the money held in your trading account.

If you open and hold a position on a Rolling Futures market for more than one day, then you will be charged a fee per day for keeping that position open.

TRADE NATION may charge you a data fee for the use of real-time price data on our trading platform. This fee reflects the ASX charges that we incur in providing this real-time price data.

Generally, TRADE NATION does not charge its clients administrative fees. However, in the case of a client making an international bank transfer and/or requesting the payment of funds to be processed on the same day, then TRADE NATION reserves the right to charge clients for these additional services. The fee for an international bank transfer will not normally be more than AUD $20 and the fee for the payment of funds to be processed on the same day will not normally be more than AUD $15.

Our employees are remunerated by way of salary and discretionary bonus. The bonus is based on individual performance, performance of the business unit and the overall performance of the holding company. We do not pay commissions to our employees, directors, associates or any related body corporate for offering our products or for referring you to us.

TRADE NATION has no associations or relationships which may influence the advice provided to clients.

We may enter into arrangements with third parties, such as introducing brokers, who may introduce you to us, or with white label partners, who may provide our services to you through their own brand. A referring party, who refers a client to us, may be compensated by us from our income received on trading. Compensation paid to a referring party may be based on the volume of the referring party's client trading volume. Any such compensation is paid out of TRADE NATION funds and are not a cost to you.

We do not pay interest to clients on money held by us in a separate account or on money paid to us as margin. This may be regarded as a cost, as you will have lost the opportunity to obtain interest (or some other return) on that money elsewhere.

TRADE NATION may charge you interest on any money due, from close of business on the date when monies first fell due until the date of actual payment at a rate of 2% per calendar month on the total cumulative sum owing.

Details of our fees (including margin requirement and dealing spread) are published on our market information sheets, which can be found under the market information tab on the TRADE NATION website. These fees may change from time to time at our discretion.

We have clear internal and external complaint resolution procedures, and we are a member of an independent dispute resolution scheme, the Australian Financial Complaints Authority (AFCA). If you wish to make a complaint or a query, you should contact one of our employees. The Complaints Officer will acknowledge the complaint as soon as practicable and to inform you who will be responsible for resolving the complaint. The Complaints Officer has 30 days from the date of the original complaint to resolve the issue. The Complaints Officer will report the findings to you either by phone or in writing. If you are still dissatisfied and wish to pursue your complaint you can direct the complaint to AFCA:

Time limits may apply to complaints to AFCA and so you should act promptly or otherwise consult the AFCA website to find out if or when the time limit relevant to your circumstances expires.

We will provide you with a guide to the External Dispute Resolution Scheme once notified of any complaint to AFCA. We will assist AFCA in its investigation and we are bound by any decision that it makes in regard to the dispute.

We have professional indemnity insurance in accordance with section 912B of the Corporations Act 2001. The professional indemnity insurance covers claims pertaining to conduct of current and recent past employees ("recent past employees" are those who have been an exemployee for a period not exceeding sixty days).
